The UniqueArticleWizard.com web Site (the "Site") is an online information service provided by Allegretto Publishing Ltd, and is subject to your compliance with the terms and conditions set forth below. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE. ALLEGRETTO PUBLISHING LTD. MAY MODIFY THIS AGREEMENT AT ANY TIME, AND SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY UPON POSTING OF THE MODIFIED AGREEMENT ON THE SITE. YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS AND YOUR CONTINUED ACCESS OR USE OF THE SITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF THE MODIFIED AGREEMENT.

1. Copyright, Licenses and Idea Submissions.

The entire contents of the Site are protected by international copyright and trademark laws. The owner of the copyrights and trademarks is Allegretto Publishing Ltd, and its affiliates or other third party licensors. YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE except that you may reproduce and redistribute articles from our article directory in accordance with the terms detailed here. You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials. You agree to grant to Allegretto Publishing Ltd a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to UniqueArticleWizard.com or Allegretto Publishing Ltd by all means and in any media now known or hereafter developed. You also grant to Allegretto Publishing Ltd the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against Allegretto Publishing Ltd for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Allegretto Publishing Ltd.

TRADEMARKS.

Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or servicemarks of Allegretto Publishing Ltd. Other product and company names mentioned in the Site may be the trademarks of their respective owners.

2. Use of the Site.

You may utilize the services of the Unique Article Wizard, providing you adhere to the following rules:

a. All articles must either be written by you directly or be original works that you own the copyright to entirely. Use of plagiarized material is a direct violation of the terms of service and will result in your account being suspended pending investigation. Should the investigation find you at fault, your account will be terminated indefinitely and Allegretto Publishing Ltd. will co-operate fully with legal and law enforcement requests, including the release of account information; user information and IP addresses.

b. You must provide an author name or pseudonym (pen name) for each article. This must be a generally agreed on format of name (eg. John Smith). You may not use website addresses (eg. Mysite.com) or nickname/usernames (eg. Myuser989).

c. Articles must be well written in the English language and are subject to approval by our editors. In the event an article is declined for distribution, it is the author’s responsibility to ensure the article conforms to the site’s requirements. If the article is deemed not suitable by our editors, it will not be distributed. The editor’s decisions in regards to article distribution are final.

d. Articles may not promote gambling sites that show cheating techniques. Promotion of gambling supplies such as poker chip sets, tables and such are acceptable.

e. Articles may not contain images, links, reference or subject matter dealing with overt sexuality and pornography.

f. You may use PLR articles, however it is our recommendation to do three full version rewrites prior to submitting them to the Unique Article Wizard as it will increase the effectiveness of your campaign.

g. You MAY NOT spam. Any indication of blatant attempts to advertise via your articles will result in your account being suspended immediately until the issue is resolved. If said issue cannot be resolved, your account will be terminated indefinitely. In the event that the issue is resolved and recurs again, a second warning will not be given; your account will be terminated immediately with no refunds or compensation due.

h. Resource box links may not redirect to a different domain and must point to a site relevant to the content of the article body.

i. Ensure your title conforms to the generally accepted format of capitalizing the first letter of each word. If you CAP all letters the directories may refuse it. If you only capitilize the first letter of the first word, the directories may refuse it. eg. This Is The Correct Way To Write A Title

j. Fair Use Policy. It is the intention of the Unique Article Wizard to provide a distribution mechanism such that authors may synidcate their articles, and webmasters can receive high quality unique content. It is our policy to allow unlimited submissions by its author members, however this may be moderated at any time by the editorial staff of the Unique Article Wizard. This moderation will be done in cases where the nature of the submissions is such that they would fail to provide the receiving webmasters the quality of content they would expect to receive from our service. Examples of these would include, but are not limited to, articles that are of poor quality; consist of the same versions for distribution; or where multiple articles discuss the same content in a repetitive fashion. Additionally, accounts may be limited or terminated, at the sole discretion of the editorial staff, for excessive use over and above a reasonable amount as calculated by average subscriber usage.

Members who use the service of the Unique Article Wizard in a way that would degrade our service, harm our reputation, or otherwise violate the letter or spirit of our terms of service can expect to have their accounts suspended or terminated without notice.

UAW services may not be resold or marketed in any manner that would imply that a client can cancel their existing UAW account or are not required to maintain their own individual UAW account.  You may not resell  UAW article distribution services other than full memberships through the standard affiliate program.

Failure to follow the above rules will result in suspension or termination of your account with no refunds or compensation due. All decisions are final.

Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

5. Termination.  

This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6. Miscellaneous.

This Agreement shall all be governed and construed in accordance with the laws of the province of Alberta, Canada applicable to agreements made and to be performed in Canada. You agree that any legal action or proceeding between Allegretto Publishing Ltd and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or provincial court of competent jurisdiction sitting in Canada. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Allegretto Publishing Ltd’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Allegretto Publishing Ltd may assign its rights and duties under this Agreement to any party at any time without notice to you.
